SUPPLIER TERMS & CONDITIONS

1. Definitions

  • “Company”: Refers to Clearsound Productions Ltd, the purchaser.

  • “Supplier”: Refers to the entity or individual supplying Goods, Services, equipment, or transportation.

  • “Goods”: Refers to the equipment or items supplied by the Supplier.

  • “Services”: Refers to any work or services provided by the Supplier, including freelance, technical, or transportation services.

  • “Purchase Order”: Refers to the order issued by the Company for the supply of Goods and/or Services.

2. Acceptance of Terms

  • By accepting a Purchase Order, the Supplier agrees to adhere to these Supplier Terms and Conditions.

  • Changes to these terms will only be valid if agreed upon in writing by the Company.

3. Delivery Requirements

  • Timely Delivery: Goods and Services must be delivered by the date specified in the Purchase Order. If the Company arranges for collection, the Supplier must have the Goods ready for collection by the agreed date and time.

  • Quality of Goods: Goods provided must be in good working condition, fully operational, and suitable for their intended use.

  • Quality of Services: Services must be performed to a professional standard and according to the specifications provided by the Company.

4. Equipment Sub-Hire

  • General Condition: Equipment sub-hired to the Company must be in good working order, fully operational, and free from defects.

  • Electrical Equipment: Electrical equipment sub-hired to the Company must have been PAT (Portable Appliance Testing) tested and certified as safe for use.

  • Rigging Equipment: Rigging equipment sub-hired to the Company must have a valid LOLER (Lifting Operations and Lifting Equipment Regulations) certification.

  • The Company will be responsible for insuring sub-hired equipment during the period of hire.

  • The Supplier must immediately report any defects or issues with sub-hired equipment.

5. Freelancers

  • Freelancers providing Services must be qualified, skilled, and certified as required for the Services they offer.

  • Freelancers must maintain professional conduct and comply with applicable health and safety regulations.

  • Freelancers must hold and maintain public liability insurance and provide evidence of this insurance upon request.

  • Timekeeping: Freelancers are expected to adhere to the scheduled start and end times as set by Team Track. Any significant delays, early departures, or absences must be communicated to the Company as soon as possible.

6. Transportation Services

  • The Supplier must ensure Goods are handled with care and delivered to the specified location on time.

  • The Supplier must take necessary precautions to prevent damage, loss, or theft during transit.

  • Adequate insurance coverage for Goods during transportation must be provided.

  • Compliance with legal and regulatory obligations related to transportation is required.

7. Local Crewing Companies

  • The Company will engage and manage local crewing companies as needed for events and services.

  • Local crewing companies must comply with all relevant health and safety regulations and adhere to the Company’s specific requirements.

  • Local crewing companies are required to hold and maintain their own insurance coverage, including public liability insurance.

  • Local crewing companies are responsible for addressing any issues that arise with their crew members and arranging for replacements if necessary.

8. Welfare, Accommodations, and Travel Expenses

  • The Company will provide welfare provisions, including meals and accommodations (e.g., hotels), for freelancers, crew members, and other personnel when necessary.

  • Accommodations will be arranged if the work requires an overnight stay, extended hours, or if the location is remote.

  • Reasonable travel expenses to and from the work site will be covered, including mileage, public transportation costs, or other necessary travel expenses.

  • Any specific welfare or travel needs should be communicated to the Company in advance.

9. Social Media and Publicity

  • The Supplier must not post or share any information, images, or content related to the Goods, Services, or any aspect of the work on social media or public platforms without prior written consent from the Company.

10. Payment Terms

  • Payment will be made within 30 days of receiving a valid invoice and satisfactory delivery of Goods or completion of Services.

  • Invoices must include the Purchase Order number for processing.

11. Liability and Indemnity

  • The Supplier is liable for and must indemnify the Company against any loss, damage, or claims resulting from defective Goods, substandard Services, or transportation issues.

  • The Company’s liability is limited to the value of the Purchase Order.

12. Insurance

  • The Supplier must maintain appropriate insurance coverage, including public liability, professional indemnity, and transportation insurance, as applicable.

  • Proof of insurance must be provided upon request.

  • The Company will insure any sub-hired equipment during the period of hire.

13. Confidentiality

  • The Supplier agrees to keep all information disclosed by the Company confidential and will not use it for any purpose other than fulfilling the Purchase Order.

14. Termination

  • The Company reserves the right to cancel the Purchase Order at any time if the Supplier fails to comply with these terms and conditions.

  • Upon termination, the Supplier must cease all work and deliver any Goods or completed work in progress to the Company.

15. Force Majeure

  • Neither party will be liable for any failure or delay in performing their obligations due to circumstances beyond their reasonable control, such as natural disasters, war, or strikes.

16. Entire Agreement

  • These Supplier Terms and Conditions, together with the Purchase Order, represent the entire agreement between the parties and supersede any previous agreements or understandings.
